ECS Power BI Custom Visuals — End User License Agreement

1) Definitions

• Visual: any Power BI custom visual published by ECS, including but not limited to ECS Milestone Trend, ECS Gantt Chart, and other visuals distributed via Microsoft AppSource.
• Certified Build: the edition of a Visual approved by Microsoft as a certified Power BI visual and distributed via Microsoft AppSource.
• Customer Data: any data contained in your Power BI reports/datasets (including personal information).
• Power BI: Microsoft's BI products and services where the Visual runs (Desktop, Service, Report Server).

2) License

ECS grants you a non-exclusive, non-transferable, worldwide, royalty-free license to install and use the Certified Build of any Visual within Microsoft Power BI for your internal business purposes.

3) Certified build — no external connections or telemetry

Certified Builds do not make external network calls (no HTTP/S requests, WebSockets, or similar), do not include telemetry, and do not transmit Customer Data to ECS or third parties. Processing occurs within Power BI. See our Privacy Policy for details.

4) Use restrictions

You must not (and must not permit others to):

• a) reverse engineer, decompile, or attempt to access source;
• b) modify or create derivative works of any Visual;
• c) embed, bundle, resell, or redistribute any Visual, including:
  • Incorporating a Visual into commercial software products or SaaS platforms;
  • Bundling a Visual with commercial offerings (even if provided free to end users);
  • Using a Visual as a component of a paid service or commercial product;
  • Redistributing a Visual outside Microsoft AppSource or the Power BI ecosystem;

  Permitted use: You may use any Visual in Power BI reports that you create for your organization or clients, provided you do not charge specifically for the Visual itself and the Visual remains within the Power BI environment. Contact support@ecs.app for commercial embedding licenses.

• d) remove proprietary notices; or
• e) use any Visual to develop a competing product.

5) Third-party platform; feature behavior

All Visuals are add-ons built with the Power BI SDK and depend on Power BI features and services. The availability/behavior of export to PPT/PDF, email subscriptions, rendering, and other platform features are controlled by Microsoft and may change. ECS cannot guarantee those services or any Microsoft SLA.

6) Ownership

All Visuals are licensed, not sold. ECS retains all right, title, and interest in and to all Visuals.

7) Third-party components & trademarks

Visuals may include third-party components under their own licenses (ECS will provide any required notices).

Trademarks: Microsoft and Power BI are Microsoft trademarks; Oracle, Primavera, and P6 are Oracle trademarks. ECS is not affiliated with Microsoft or Oracle.

8) Updates

ECS may publish updates via AppSource. Your use of updates remains subject to this EULA unless different terms accompany an update.

9) Support

Best-efforts email support: support@ecs.app. ECS has no obligation to provide fixes or enhancements.

10) Warranty disclaimer

To the maximum extent permitted by law, all Visuals are provided "as is" and "as available", with all faults and without warranties of any kind (including merchantability, fitness for a particular purpose, title, and non-infringement).

11) Australian Consumer Law

Nothing in this EULA excludes, restricts, or modifies any non-excludable rights under the Australian Consumer Law to the extent they may apply.

12) Limitation of liability

To the maximum extent permitted by law:

• a) ECS is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business; and
• b) ECS's aggregate liability for all claims is limited to AUD 100.

13) Indemnity

You will indemnify ECS from claims arising out of your misuse of any Visual or breach of this EULA.

14) Termination

This EULA continues until terminated. It terminates automatically if you breach it. Upon termination, you must stop using and uninstall all Visuals. Sections 4–13 and 15–17 survive termination.

15) Export & sanctions

You must comply with applicable export control and sanctions laws.

16) Governing law; venue

This EULA is governed by the laws of Queensland, Australia. The courts in Queensland have exclusive jurisdiction.

17) Entire agreement; marketplace terms

This EULA is the entire agreement between you and ECS for all Visuals. If you obtained a Visual via Microsoft AppSource, Microsoft's marketplace terms also apply; in a conflict, this EULA governs your relationship with ECS regarding that Visual.
